There’s a few things you need to know first before working with us, you must sign and agree to the following:

Contractor Agreement

Hatch & Hype Digital
A Division of Tiny Dragon’s Treasure Trove LLC

This Contractor Agreement (“Agreement”) is made and entered into by and between Hatch & Hype Digital, a sole proprietorship under Tiny Dragon’s Treasure Trove LLC, with its principal place of business in Anne Arundel County, Maryland (“Company”), and the undersigned independent contractor (“Contractor”).

By signing this Agreement, Contractor acknowledges and agrees to the following terms:

1. Provision of Personal Information

Contractor shall provide their full legal name, current mailing address, and Social Security Number prior to receiving any payment. This information will be used solely for tax reporting purposes, specifically for the issuance of IRS Form 1099, and will be kept confidential in accordance with applicable laws.

2. Non-Compete Clause

Contractor agrees not to use any skills, knowledge, trade secrets, or methodologies learned or developed while working for Hatch & Hype Digital to establish, operate, or assist any competing business or agency for a period of five (5) years following the termination of their working relationship with Hatch & Hype Digital. This restriction applies to any business that offers digital marketing, website design, branding, or similar services.

3. Morality Clause

Contractor agrees to uphold the strict standards of decency, integrity, and ethical conduct set forth by Hatch & Hype Digital, including but not limited to:

  • Refraining from participating in or creating websites or materials that exploit the innocent, vulnerable, or disenfranchised.
  • Not engaging in defamatory, harassing, hostile, or disparaging communications toward clients, their affiliates, or the affiliates of Hatch & Hype Digital.
  • Refraining from any conduct that could harm the public image or reputation of Hatch & Hype Digital or its Parent Company, Tiny Dragon’s Treasure Trove LLC.

4. Non-Disparagement Clause

Contractor agrees not to publicly, privately, in writing, verbally, or online:

  • Defame, disparage, besmirch, or otherwise negatively reference Hatch & Hype Digital, its clients, partners, affiliates, Tiny Dragon’s Treasure Trove LLC, or any related parties.

5. Payment Terms

Payment terms (whether per project, hourly, or otherwise) shall be negotiated and agreed upon in writing prior to the start of any services.
Hatch & Hype Digital reserves the right to:

  • Withhold, reduce, or delay payment if services are deemed substandard, incomplete, or in violation of this Agreement pending investigation.
  • Refuse payment altogether if it is determined that a material breach of this Agreement occurred.

6. Termination and Remedies

Contractors are hired on an as-needed basis and can be terminated at any time for convenience or for cause, including but not limited to:

  • Breach of any provision of this Agreement.
  • Acts of defamation, negligence, or misconduct.

Contractor acknowledges that breach of this Agreement may result in termination and exposure to civil liability, including lawsuits for:

  • Breach of contract
  • Defamation
  • Misappropriation of trade secrets
  • Breach of confidentiality
  • Violation of non-compete obligations
  • Any other applicable civil remedies under Maryland law

7. Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, and any disputes arising hereunder shall be resolved exclusively in the courts located in Anne Arundel County, Maryland.

8. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless made in writing and signed by both parties.

By signing below, Contractor acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.

The contractor terms of engagement presented by Hatch & Hype Digital, a subsidiary of Tiny Dragon’s Treasure Trove LLC, do not constitute an offer or promise of employment, compensation, contractual services, or any form of guaranteed engagement, either express or implied. By reviewing, accessing, or signing any agreement—whether physically or electronically—without prior communication, discussion, and express written approval from an authorized representative of Hatch & Hype Digital or its parent company, the individual does not obtain the status of a contractor, employee, partner, or representative of Hatch & Hype Digital or Tiny Dragon’s Treasure Trove LLC.

No contractor agreement or service acknowledgment—signed electronically or otherwise—shall be considered valid or binding unless accompanied by a mutually agreed-upon compensation structure, scope of work, timeline, and formal written confirmation from the company. The signature on any document, form, or digital submission platform is not sufficient to establish a working relationship, nor does it obligate Hatch & Hype Digital or Tiny Dragon’s Treasure Trove LLC to provide compensation, employment, services, or other benefits.

This disclaimer extends to all affiliates, partners, clients, collaborators, and third parties. Any reliance on a document or agreement without accompanying personal communication and written confirmation shall be at the signer’s own risk. Neither Hatch & Hype Digital nor Tiny Dragon’s Treasure Trove LLC shall be liable for any misunderstandings, assumptions, or expectations arising from unsigned, pre-signed, or informally executed agreements or submissions not explicitly authorized.

No agreement shall be considered binding unless expressly acknowledged in writing by a managing officer or designated representative of the company.
